01 Engagement & Scope of Services

SparkSoftwares ("we", "us", "our") provides high-velocity custom software development, web applications, mobile engineering, and API integrations for client businesses. Every project is governed by an agreed written Scope of Work (SOW) or sprint agreement outlining technical specifications, milestones, and delivery windows (typically 7 to 21 calendar days).

02 100% Intellectual Property (IP) Ownership Transfer

We operate on a clean ownership model:

• Full Client Ownership: Upon receipt of the final milestone payment, 100% of all intellectual property, proprietary source code, database architectures, assets, and design files created for your project transfer irrevocably to you.
• Zero Vendor Lock-In: We deliver clean, documented codebases pushed directly to your organization's private GitHub/GitLab repositories. No proprietary runtime locks or ongoing license royalties.
• Pre-existing Frameworks: Open-source libraries and standard runtime dependencies (e.g. React, Node.js, Tailwind, PostgreSQL) remain subject to their respective open-source licenses (MIT, Apache 2.0).

03 Fixed Milestone Pricing & Payment Terms

To eliminate budget surprises, our projects operate on fixed, predictable milestone billing:

• Milestone Structure: Typically structured as 50% deposit upon sprint kickoff and 50% balance upon completed acceptance demo and production deployment.
• Zero Hidden Hourly Fees: We do not bill ambiguous hourly overages. Any additions to the original feature roadmap are quoted as separate, agreed sprint add-ons.
• Invoicing: Official GST tax invoices are provided for all transactions.

04 Rapid Delivery SLA & Milestone Approvals

We take pride in building fast without cutting corners:

• Delivery Commitments: Sprint milestones are deployed to live staging environments according to the project roadmap (typically within 7 to 21 days).
• Review Period: Clients receive a 5-business-day review window following each milestone release to verify features against specifications and request minor adjustments.

05 30-Day Post-Launch Bug Warranty

Every software build delivered by SparkSoftwares includes our 30-Day Post-Launch Warranty at no additional charge. If any defects, broken logic, or regression bugs directly related to the delivered scope emerge within 30 days of production go-live, our team patches and deploys the fix with priority turnaround.

06 Mutual Confidentiality & NDA

We treat all client business concepts, customer data, and system architectures as strictly proprietary. We execute standard mutual Non-Disclosure Agreements (NDAs) prior to onboarding and protect your trade secrets with the utmost diligence.

07 Governing Law & Jurisdiction

These terms and all service agreements shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction resting in the courts of Jaipur, Rajasthan, India.
